Wimbledon Championships LTA Ticket Terms of Sale

LTA Operations Limited is a company registered in England under company number 07475460, whose registered office is at The National Tennis Centre, 100 Priory Lane, Roehampton, London, SW15 5JQ, and whose VAT number is GB115105662 (the “LTA”). The LTA operates a several ballot and offer programmes and a general resale for certain of its members to purchase tickets to the 2022 Wimbledon Championships (the "Championships").

1. Understanding these terms

1.1 These terms and conditions ("Terms of Sale") set out the terms on which you may purchase:

1.1.1 the tickets set out in the winner notification that you received from the LTA following your successful participation in a Ticket ballot (“Ballot”) or offer (“Offer”) (with such notification being a “Winner Notification”); or

1.1.2 tickets in the LTA’s official resale,

with each such ticket being a “Ticket”. Tickets may be purchased via the AELTC (as defined below) ticket purchasing platform (“Ticketing Platform”) as further detailed in clause 2 below.

1.2 The Championships are owned and staged by The All England Lawn Tennis Club (Championships) Limited incorporated and registered in England and Wales with number 7546773 with its registered office at Church Road, Wimbledon, England SW19 5AE (the “AELTC”).

1.3 When certain words and phrases are used in these Terms of Sale, they have specific meanings (these are known as "defined terms"). You can identify these defined terms because they start with capital letters (even if they are not at the start of a sentence). Where a defined term is used, it has the meaning given to it in the section of these Terms of Sale where it was defined (you can find these meanings by looking at the sentence where the defined term is included in brackets and speech marks).

1.4 In these Terms of Sale, when we refer to "we", "us" or "our", we mean the LTA; and when we refer to "you" or "your" we mean either:

1.4.1 consumers, being individuals acting for purposes that are wholly or mainly outside of their trade, business, craft or profession; or

1.4.2Professional Users”, being individuals or entities seeking to purchase a Ticket for purposes related to their trade, business, craft or profession (and any individual purchasing a Ticket on behalf of a Professional User warrants to the LTA that it has the power and authority to bind the Professional User on whose behalf it is purchasing such Ticket). For the avoidance of doubt, Tickets purchased in accordance with these Terms of Sale may only be used for purposes related to the trade, business, craft or profession of an individual where such use is expressly permitted by the LTA or the AELTC.

1.5 In addition to these Terms of Sale, any person who applies for, purchases, possesses or attempts to use a Ticket shall also comply with the AELTC’s:

1.5.1 terms and conditions of sale and use of Tickets and attendance at the Championships, the current version of which are available here. (“AELTC Terms and Conditions”); and

1.5.2 Conditions of Entry, the current version of which are available here. (“Conditions of Entry”),

as more particularly detailed in clause 5.6 (collectively, the “AELTC Terms”). In the event of a conflict between these Terms of Sale and the AELTC Terms and Conditions, these Terms of Sale shall prevail.

1.6 Any breach of the AELTC Terms (as may be amended by AELTC from time to time) shall entitle AELTC to cancel and invalidate the Ticket and any other Tickets that have been purchased with no right to a refund. Any breach of the AELTC Terms by a Ticket holder shall result in the Ticket holder being deemed a trespasser and shall give AELTC the right to refuse admission to, or eject, said Ticket holder from the venue of The Championships at Church Road, London SW19. AELTC shall give written reasons if requested by the said Ticket holder. Your attention is particularly drawn to clauses 5,3 (restrictions on applications), 13 (Use of Tickets), 14 (Entrance to the Grounds), 17 (Refunds), 18 (Curtailment of Play), 19 (Liability) and 20 (Force Majeure) of the AELTC Terms and Conditions.

1.7 Please note, however, that certain functions made available on the Ticketing Platform may be governed by additional terms and conditions, including (for example) the terms of use of the Ticketing Platform.

1.8 In addition to clause 1.5 above, please note that we only use your personal information in accordance with our privacy and cookies policy (available here) and that the Website uses cookies, the use of which is governed by our privacy and cookies policy.

2. Ordering Tickets

2.1 To place an order for Tickets via the Ticketing Platform (an "Order"), you must:

2.1.1 in respect of a Ballot or Offer, be at least 13 years of age and an LTA Fan+ Play+ or Compete Advantage LTA member or otherwise eligible to enter an LTA Ballot or Offer (and please note that if you are below 18 years of age, you must have the permission of your parent or legal guardian) and have been successful in an LTA Ballot or Offer;

2.1.2 in respect of an LTA ticket resale, be at least 18 years of age and be eligible to access an LTA Ticket resale; and

2.1.3 have registered for a myWimbledon Account via the link in the Winner Notification (“Wimbledon Account”), and downloaded the myWimbledon mobile application (the “Mobile Application”) in order to receive your Tickets.

2.2 If you are a consumer, please note that any Tickets you purchase are intended for domestic, private and non-commercial use and by making a Ticket purchase through the Ticketing Platform and accepting these Terms of Sale, you represent to us that you are acting as a consumer and not for purposes relating to your trade, business, craft or profession.

2.3 Once Tickets have been purchased they cannot be transferred, except in the circumstances set below in clauses 4.5 and 5.4. This includes (but is not limited to) selling or giving Tickets to friends, family or other members of the LTA’s membership scheme (each an “Advantage Member”). The Tickets must be used by the eligible individual who purchased the Tickets and a guest only (the guest does not need to be an Advantage Member). Any Ticket advertised or offered for sale, or otherwise transferred, whether by the participant or any third party, will be void.

2.4 If you are successful in an LTA Ballot or Offer and are eligible to purchase Tickets, you will receive a Winner Notification via email (to the email address registered to your LTA membership account which you used to opt into the relevant Ballot or Offer). The email will contain instructions and a link on how to register for a Wimbledon Account. You will have 10 days to register for a Wimbledon Account from the date of notification. You will then be notified via email when you need to purchase your Tickets on the Ticketing Platform. You will have 10 days to purchase your Tickets from the date of notification.

2.5 If you are eligible to purchase Tickets in an LTA resale, you will receive an email (to the email address registered to your LTA membership account) (the “Sale Date Email”) containing a link to the Ticketing Platform and an access code (the “Access Code”). You will need to follow the link contained in the Sale Date Email and enter the Access Code as instructed on the Ticketing Platform. You will only be able to purchase one pair of Tickets through an LTA resale. Only one Access Code will be issued for each email address and Tickets will be sold on a first come first served basis.

2.6 Once you have accessed the Ticketing Platform, you will be able to see the details of the Tickets that you may purchase, and if you wish to proceed with such purchase you must follow the procedure set out on the Ticketing Platform. You should check all of the information that you enter and correct any errors before submitting your Order, as once your Order is submitted we will begin processing it immediately.

2.7 Your Order constitutes an offer to us. We will confirm our acceptance of your Order by sending you an email confirming the information you included in your Order (the "Confirmation Email"). These Terms of Sale, the AELTC Terms and the Order will become legally binding on you and us when we send you the Confirmation Email and each Order shall incorporate the Terms of Sale and the AELTC Terms, and shall be a new and separate contract between you and us (“Contract”).

2.8 Following the sending of the Confirmation Email to you by us, your Tickets will be made available for download via your Wimbledon Account on the Mobile Application no later than 24 hours prior to the date of the applicable Tickets. If our supply of the Tickets is delayed by an event outside our control or AELTC’s control then we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay. Provided we do this we will not be liable for delays caused by the event outside our control or AELTC’s control, but if there is a risk of substantial delay you may contact us to end the Contract and receive a refund for any Tickets you have paid for but not received.

3. Payment

3.1 The prices for the Tickets are set out on the Ticketing Platform and are inclusive of VAT.

3.2 It is always possible that, despite our best efforts, some of the Tickets may be incorrectly priced. We will normally check prices before accepting your Order so that, where a Ticket's correct price at the time of your Order is less than our stated price at that time, we will charge the lower amount. If the Ticket's correct price at the time of your Order is higher than the price stated to you, we will contact you for your instructions before we accept your Order. If we accept and process your Order where a pricing error is obvious and unmistakeable and could reasonably have been recognised by you as a mispricing, we may end the Contract and refund you any sums you have paid.

3.3 If your payment is not authorised, your Order will not be fulfilled.

4. Use of Tickets

Eligibility to use Tickets

4.1 You may only purchase Tickets in your own name and must provide the names of any other person who will make use of any other Ticket (if applicable) that you purchase. If you purchase a single Ticket, you must be over 16 years of age (on the Championships date to which such Ticket relates) in order to use such Ticket. If you purchase more than one Ticket, either you or a guest using another Ticket that you have purchased must be over 16 years of age (on the Championships date to which such Ticket relates) in order for any person under 16 years of age to use any such Ticket.

4.2 You confirm that you have never been refused entry to the Championships (or any other ATP, WTA or ITF sanctioned event) or been ejected from the premises of the Championships (or any other ATP, WTA or ITF sanctioned event), or received a ban from the AELTC or any tennis governing body anywhere in the world, or acted in breach of these Terms of Sale, the AELTC Terms or any other terms and conditions of AELTC or the LTA from time to time, and further confirm that you have never offered or advertised for sale or transfer, and/or sold or transferred Tickets to the Championships in breach of any applicable terms and conditions. We reserve the right to cancel any or all Tickets if you are in breach of this clause 4.2.

4.3 In order to use a Ticket, you must:

4.3.1 comply with any and all entry requirements and/or acknowledgements (including any epidemiological acknowledgements, if required) in the context of COVID-19, as notified to them by AELTC and/or the LTA from time to time; and

4.3.2 where you are travelling to the United Kingdom, have complied with any requirements which are in place regarding entry into the United Kingdom (including obtaining a valid VISA (if required) and any travel and entry requirements imposed under applicable laws and/or otherwise in the context of COVID-19).

Restrictions on transfer of Tickets

4.4 Save where permitted in accordance with clause 4.5 or offered by you for transfer in accordance with clause 5.4, any Ticket advertised or offered for sale or transfer whether by you or any third party will be void.

4.5 You shall be permitted to transfer a Ticket to your guest provided that:

4.5.1 you will attend the Championships on the date of the Tickets with your guest;

4.5.2 the Tickets is for their guest’s personal use;

4.5.3 such permitted transfer is free of any consideration; and

4.5.4 the guest, by accepting the transfer of Tickets from you, agrees to be subject to these Terms of Sale.

4.6 Any Ticket which is obtained, offered or advertised for sale or transfer, and/or sold or transferred in breach of these Terms of Sale shall be void and all rights conferred or evidenced by such Ticket shall be nullified. Any person seeking to use a Ticket obtained in breach of these Terms of Sale in order to gain or provide entry to or remain at the Championships will be a trespasser and will be ejected without refund or compensation and may be liable to legal action.

4.7 Tickets remain the property of the AELTC at all times.

Permitted use of Tickets

4.8 All Tickets must be used in accordance with these Terms of Sale, the AELTC Terms and the conditions of entry published by the AELTC for the applicable Championships. You may be refused admission to or ejected from the grounds of the Championships (“Grounds”) without refund or compensation if you and/or any other Ticket holder are in breach of the AELTC Terms or these Terms of Sale.

4.9 Ticket(s) shall not be:

4.9.1 used for any promotion, advertising, fundraising, auction, raffle or any other similar commercial or non-commercial purposes;

4.9.2 used as a prize (or part of a prize) in any contest, competition, promotional game of chance, lottery or sweepstake;

4.9.3 combined with and sold or transferred as part of any package of goods or services; or

4.9.4 combined with and sold or transferred as part of any travel, accommodation or hospitality package.

4.10 You must not:

4.10.1 run any advertisements or promotions relating to the LTA, the AELTC or the Championships;

4.10.2 advertise, promote, give away, distribute, sell or offer for sale any product or service from any part of the Grounds or via the display of overt commercial, promotional or marketing messages on clothing worn or items brought into the Grounds; or

4.10.3 exploit any marketing or promotional opportunities in relation to the Ticket(s).

4.11 Each Ticket holder must:

4.11.1 submit to inspections, body checks and examinations – including through the use of technical aids – to ensure that they are not in possession of dangerous, prohibited or unauthorised items. Safety personnel, stewards or police shall be entitled to search any person’s clothing and their belongings;

4.11.2 comply with all instructions and guidelines issued by safety personnel, stewards and/or police and/or any other duly authorised persons at the Grounds;

4.11.3 subject to clause 6.4, comply with all sanitary measures and polices in place at the Grounds, including the Conditions of Entry related to COVID-19, and follow any and all instructions from safety personnel, stewards and/or police and/or any other duly authorised persons at the Grounds in relation to sanitary and hygiene measures; and

4.11.4 be subject to additional safety controls inside the Grounds, as the case may arise.

4.12 Betting and flash photography are prohibited in the Grounds at all times.

4.13 Without limitation to the Conditions of Entry, it is strictly forbidden to do any of the following inside the Grounds:

4.13.1 occupy or access areas which are closed to the public or for which access is unauthorised in accordance with the relevant Ticket type held by the Ticket holder;

4.13.2 restrict or loiter in areas open to traffic, footpaths and roadways, entrances and exits to visitor areas and emergency exits; or

4.13.3 engage in any other conduct which may endanger any person at the Grounds.

4.14 You assume full and absolute responsibility for all Tickets allocated to you, including for any advertisement, offer for sale or transfer and/or sale or transfer of Tickets (or for any other breach of these Terms of Sale), whether or not such advertisement, offer for sale or transfer and/or sale or transfer (or other breach of these Terms of Sale) takes place with your knowledge.

4.15 Admission to the Championships will only be authorised upon presentation of a valid Ticket and (if required by the AELTC) photographic proof of identity. Ticket holders must retain their Ticket at all times. Failure to do so may result in the Ticket holder being evicted from the Championships without refund or compensation. In particular, but without limitation, it is the Ticket holder’s responsibility to ensure that the Tickets are displayed correctly on their device – electronic Tickets must be displayed within Mobile Application as they possess dynamic features and, as such, a printout or screenshot of the electronic Ticket will not be valid to gain access to the Grounds. Ticket holders must retain their Ticket (e.g. their mobile phone which displays the Ticket, if applicable) at all times. Failure to do so may result in the Ticket holder being evicted from Grounds without refund or compensation.

4.16 Please note:

4.16.1 wheelchair users or other Ticket holders who require disability seating must ensure that the Tickets that they have purchased/use are for disability seats. If a person requiring disability seating attempts to enter the Championships using any Ticket other than a disability seating Ticket, they may be refused access to the seat detailed on their Ticket; and

4.16.2 a Ticket must be used on the day of the Championships shown on such Ticket. Any person seeking to gain access to the Championships on a day other than that shown on their Ticket will be refused entry.

Alterations to the Championships

4.17 Save as set out in clause 5.6 below, the LTA shall not be liable for any refund, loss, damage or expense caused by cancellation, curtailment or change of schedule of the Championships because of circumstances beyond the reasonable control of the LTA and/or the AELTC. The Championships are organised and staged in accordance with applicable laws and government guidance in force from time to time and approvals from the Local Authority. No guarantee can be given by AELTC that any play will take place at a particular time or on a particular date, that spectators will be permitted to enter the Grounds in any particular numbers, that capacities may not be further reduced after Tickets have been sold, or that any play will take place at all.

4.18 You acknowledge that the AELTC reserves the right to change the programme and schedule of the Championships without notice where it is reasonably necessary to do so. Tickets are for the court specified on the date shown and entitle you to enter that court and not to view any particular match or round of matches or any particular player. Matches may be moved from one court to another at the sole discretion of the AELTC.
Recording content of the Championships

4.19 During the Championships, various filming, photography and broadcasting takes place in the Grounds. By attending the Championships, you accept and acknowledge that photographs, filming and sound recording may be taken of you as a spectator and member of the crowd (collectively, the “Images”). Where required under applicable law, you hereby give consent to the AELTC, its licensees and those authorised by it, to the use of such Images (including any copies) and for their image, likeness and voice to be included in pictures and/or on film and/or audio broadcasts or transmissions and their exploitation and advertising without compensation or credit. You acknowledge that any such use under this clause 4.19, and your agreement to such use, shall last in perpetuity. You accept and acknowledge that it is in AELTC’s legitimate interests to use and publish the Images in this manner (including, without limitation, any personal data contained therein) as it requires the ability to: (a) publish, display, sell and distribute the Championships by means of film, television, radio, print media, internet, publicity material (or any other media now known or in the future); and (b) use the Images for safety and security, promotional, training, editorial or marketing purposes by the AELTC, as determined in the AELTC’s sole discretion (including commercial partners and accredited media organisations). 4.20 The use of photographic equipment, mobile telephones, computers, tablets or other electronic devices, communication devices, audio-visual equipment or radios must not inconvenience any other person in the Grounds or be used to capture, supply or transmit data for the purposes of betting or gambling (or assisting for these purposes). In particular, mobile telephones, computers, tablets or other electronic devices, communication devices, audio-visual equipment or radios must be SWITCHED OFF in and around the courts in play. Personal headphones must be used when listening to radios inside the Grounds.

4.21 Subject to clause 4.22, you acknowledge and agree that the AELTC is the sole legal and beneficial owner of any intellectual property rights (including copyright) in any images, footage or material taken or recorded in the Grounds (including by the attendee) and attendees hereby assign any rights they may have in respect of such material to the AELTC and waive all moral rights in the same.

4.22 The AELTC grants you a licence to use photographs or images taken by you at the Championships for non-commercial use. Save for such permitted use, you shall not record, use or transmit over the internet, radio, television or any other current or future media, any sound, image, recording or description of the Championships, the Grounds or any match (including any results, statistics, information or other data in respect of the match, whether in whole or in part) or assist any other person(s) conducting such activities. For the avoidance of doubt, still photographs, film, videotape or other audio-visual material recorded within the Grounds may not be sold, used or published commercially in any way whatsoever unless authorised by the AELTC and may be confiscated by the AELTC if such usage is suspected.

4.23 Recording or transmission in any form of moving images of any part of play at the Championships for any purposes is prohibited.

5. Cancellation and refunds

5.1 You do not have a right to cancel a Contract and receive a refund under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

5.2 You have legal rights in relation to any Tickets that are not in accordance with these Terms of Sale. If you believe that any Tickets that you have ordered do not conform with these Terms of Sale, please contact us (using the details in clause 11) to request a replacement or refund.

5.3 If, due to unforeseen circumstances, we are unable to fulfil your Order or any of the Tickets in a particular Order, we will refund the value of Ticket(s) that we were unable to fulfil. You may obtain a refund by contacting us (see clause 11 for the contact details).

5.4 If you do not wish to or are unable to use any Ticket(s) you must offer them to the LTA and request a refund and, if your request is received by the LTA at least 24 hours prior to the day of play of such Ticket(s), we will issue you with a refund.

5.5 The LTA and the AELTC each reserve the right not to replace or accept any Ticket that has been forgotten (for example if you have forgotten the device on which the Ticket is stored on the day that you attend the Championships or the device on which the Ticket is stored has run out of battery) or that contain incorrect personal information.

5.6 In the event of any curtailment or cancellation of play:

5.6.1 If there is less than one (1) hour's play on the Court for which Tickets have been bought, you will be refunded the purchase price for such Ticket(s).

5.6.2 If there is more than one hour's play, but less than two hours' play, refunds will be limited to half of the purchase price of the applicable Ticket(s).

5.6.3 Refunds are calculated as defined above and using the official Championships referee’s record of how much play has taken place on any given day. It is this official figure which determines whether or not you are entitled to refunds, rather than the amount of play which an individual spectator may have seen. The official Championships referee's decision on how much play has taken place will be final.

5.6.4 Only you are eligible for refunds under this clause 5.6. Refunds will be paid out automatically for Tickets bought in advance to the credit or debit card used to make the original purchase, and shall, if requested by AELTC, return the Ticket(s) without delay.

6. Liability

6.1 Nothing in these Terms of Sale excludes or limits our liability for:

6.1.1 death or personal injury caused by our negligence;

6.1.2 fraud or fraudulent misrepresentation; and

6.1.3 any matter in respect of which it would be unlawful for us to exclude or restrict our liability.

6.2 If you are a Professional User then, subject to clause 6.1:

6.2.1 in no event shall the LTA be liable to you for any loss of profits, loss of revenue, loss of contracts, failure to realise anticipated savings or for any indirect or consequential loss, whether arising from negligence, breach of contract or otherwise; and

6.2.2 the LTA’s total aggregate liability to you in respect of any loss or damage suffered and arising out of or in connection with these Terms of Sale or any Contract, whether in contract, tort (including negligence) or otherwise shall not exceed a sum equal to the value of your Order.

6.3 If you are a consumer then, subject to clause 6.1:

6.3.1 you agree not to use any Ticket for any commercial or business purposes and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity;

6.3.2 if the LTA fails to comply with these Terms of Sale, the LTA is responsible for loss or damage you suffers that is a foreseeable result of the LTA’s breach of these Terms of Sale or its negligence, but the LTA is not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if it is an obvious consequence of the LTA’s breach or if it was contemplated you and the LTA at the time that these Terms of Sale became binding on both the LTA and you;

6.3.3 nothing in these Terms of Sale affects your statutory rights. Advice about your statutory rights is available from your local Citizens' Advice Bureau or Trading Standards Office; and

6.3.4 the LTA’s total aggregate liability to you in respect of any loss or damage suffered and arising out of or in connection with these Terms of Sale or any Contract, whether in contract, tort (including negligence) or otherwise shall not exceed a sum equal to the value of your Oder.

6.4 You and each guest accept and acknowledge that while any COVID protocols introduced by the AELTC from time to time are designed to reduce the risk of transmission of COVID-19, it is not possible to eliminate that risk entirely. You and each guest assume the risk of suffering an illness or fatality related to COVID-19 as a result of your/their attendance at The Championships, and agree (on your/their own behalf, and on behalf of your/their estate, heirs, successors and assigns) that neither the LTA, the AELTC, The All England Lawn Tennis & Croquet Club Limited nor The All England Lawn Tennis Ground PLC, nor their directors, officers, employees, agents and officials shall bear no liability in respect of any such illness or fatality unless it is proven that the illness or fatality was suffered as a result of the wilful misconduct or gross negligence of the LTA, AELTC, The All England Lawn Tennis & Croquet Club Limited and/or The All England Lawn Tennis Ground PLC. Neither you nor any guest will bring any claim that is inconsistent with the foregoing sentence.

7. Suspension, termination and enforcement of these Terms of Sale

7.1 If you breach any of these Terms of Sale, we may immediately do any or all of the following (without limitation):

7.1.1 issue a warning to you;

7.1.2 withdraw your right to use any Ticket(s) (without refund);

7.1.3 temporarily or permanently withdraw your right to use the Website and/or the Ticketing Platform;

7.1.4 issue legal proceedings against you for reimbursement of all costs resulting from the breach (including, but not limited to, reasonable administrative and legal costs);

7.1.5 take further legal action against you; and/or

7.1.6 disclose such information to law enforcement authorities as we reasonably feel is necessary to do so.

7.2 Without limiting clause 7.1, if you breach these Terms of Sale:

7.2.1 you shall (at the discretion of the LTA, and without limiting any other rights or remedies available to the LTA, including to take legal action or initiate any disciplinary procedure or apply any sanction within the scope of the LTA’s rules and regulations (available here)) be prohibited from participating in any future ballots or offers for tickets from the LTA to future editions of the Championships; and

7.2.2 you may not (at AELTC’s discretion) be permitted to apply for or receive Tickets from AELTC or the LTA for up to a period of five full Championships from the date of such breach, or, for (a) repeat offenders; or (b) in exceptional circumstances, dependant on the severity of the breach, for an extended period or in perpetuity. Full details of AELTC’s policy in this regard, including your right to appeal any prohibition in place regarding the purchase of Tickets, are available on request from the AELTC’s Head of Ticketing (contact details for whom can be provided by the LTA on request).

8. Changes to these Terms of Sale

We may make changes to these Terms of Sale from time to time (if, for example, there is a change in the law that means we need to change these Terms of Sale) but the Terms of Sale applicable at the time of your Order will apply to that Order. Please check these Terms of Sale regularly to ensure that you understand the Terms of Sale that apply at the time that you access and use the Website and/or order Products.

9. Other important information

9.1 Each of the clauses of these Terms of Sale operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining clauses will remain in full force and effect.

9.2 If we fail to insist that you perform any of your obligations under these Terms of Sale, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.

9.3 If you are a Professional User, these Terms of Sale, together with your Confirmation Email, contain the entire agreement between you and the LTA in relation to their subject matter and supersedes any prior arrangement, understanding written or oral agreements between you and the LTA in relation to such subject matter. You and we each acknowledge that, in entering into a Contract, neither of us has relied upon any oral or written statements, collateral or other warranties, assurances, representations or undertakings made by the other or on their behalf in relation to the subject-matter of such Contract ("Pre-Contractual Statements"), other than those which are expressly set out in the Terms of Sale and your Confirmation Email. Each of you and us hereby waives all rights and remedies which might otherwise be available to either of us in relation to such Pre-Contractual Statements.

10. Governing law and jurisdiction

10.1 These Terms of Sale and each Contract, and any dispute or claim arising out of or in connection with them, are governed by English law.

10.2 Any proceedings arising out of or in respect of these Terms of Sale or any Contract shall:

10.2.1 If you are a Professional User, be subject to the exclusive jurisdiction of the English courts; and

10.2.2 If you are a consumer, be subject to the jurisdiction of the English courts save that if you are resident in either Scotland or Northern Ireland, we will bring proceedings in the Scottish or Northern Irish courts and you may bring proceedings in either the Scottish or Northern Irish courts (as applicable) or the English courts.
